As discussed in our previous blog post, Irish Company Law for the 21st Century , the new Companies Act 2015 (companies bill) will require action from every company in Ireland.
- There will be changes in filing requirements and changes in the forms used.
- Changes to company types
- Changes to the way charges are filed
- There will be different conversion options and requirements.
- Simplified private company features (possibility of one director companies, no need to hold physical AGM in certain instances, one page constitution replacing memorandum and articles etc...
The Companies Act 1963-2012 will shortly be replaced by a new Companies Act. The legislation is currently passing through the Oireachtas. The Companies Registration Office is carrying out a survey to identify the best way of providing information to our stakeholders.
